6. Payment Terms

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • You are responsible for all collection costs

6.2 Expenses

Unless otherwise agreed, you will reimburse us for reasonable out-of-pocket expenses incurred in providing services, including travel, accommodation, and third-party costs.

7. Intellectual Property

We retain ownership of:

  • Our methodologies, processes, and know-how
  • Pre-existing intellectual property
  • General knowledge and experience gained
  • Website content and materials

7.2 Work Product

Deliverables created specifically for you will be owned by you, subject to our right to retain copies for our records and to use general knowledge and experience gained.

7.3 Third-Party Materials

Any third-party materials incorporated into our work remain the property of their respective owners.

8. Confidentiality

9. Limitation of Liability

Either party may terminate services:

  • For convenience with 30 days' written notice
  • Immediately for material breach that remains uncured after 15 days' notice
  • Immediately for insolvency or bankruptcy

12.2 Effect of Termination

Upon termination:

  • You must pay for services performed through the termination date
  • We will deliver completed work product
  • Confidentiality obligations survive
  • We may retain copies of work product for our records

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

13.2 Dispute Resolution Process

Any disputes will be resolved through:

  1. Good faith negotiations
